General Information:

On February 4, 2024, Cano Health, Inc. and its subsidiaries (collectively, the “Company”) entered into a Restructuring Support Agreement with a significant majority of its lenders (the “Ad Hoc Lender Group”) to reduce debt, strengthen liquidity, and position it for long-term success. To facilitate this restructuring, the Company initiated on February 4, 2024, prearranged voluntary Chapter 11 proceedings in the United States Bankruptcy Court for the District of Delaware (the “Court”) pending before the Honorable Karen B. Owens.

On May 21, 2024, the Company announced, with the support of the Ad Hoc Lender Group, a global settlement of all claims and controversies with the Unsecured Creditors Committee representing the interests of the Company’s general unsecured creditors. On May 21, 2024, the Company received Court approval of a revised Disclosure Statement and voting process for a chapter 11 plan of reorganization that incorporated the terms of the global settlement (as further amended, modified, or supplemented, the “Plan”).

On June 28, 2024, Cano Health obtained Court approval of the Plan and successfully completed its financial restructuring, emerging from Chapter 11 with a significantly improved capital structure and optimized operations focused on providing quality patient care within the Florida market, which now consists of 80 locations.

As part of its restructuring, Cano Health reduced its debt obligations by over $1 billion and secured up to $200 million in new capital from its existing investors to support the Company’s go-forward business plan.
